Acceptance of Terms

By accessing or using Gipity ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

Description of Service

Gipity is an autonomous AI agent platform that provides personal AI agents with capabilities including conversational AI, sandboxed code execution, file management, per-user databases, app hosting and deployment, image generation, text-to-speech and audio services, web and social media search, automated workflows, and persistent agent memory. The agent acts on your behalf. There is no IDE, editor, or terminal. The agent is the interface.

Account and Authentication

You must provide a valid email address or use a supported OAuth provider (Apple, Google) to create an account. You are responsible for maintaining the security of your authentication credentials and for all activity under your account. You must be at least 16 years old to use the Service.

Credits, Billing, and Subscriptions

The Service operates on a credit-based system. Credits are consumed when you use platform features including AI chat, code execution, image generation, text-to-speech, web search, and app deployment. Subscription credits expire 31 days after issuance. Purchased credits expire 90 days after purchase. Credits are non-transferable and non-refundable except as required by law. We reserve the right to modify credit pricing with reasonable notice. Payment is processed securely through Stripe. We do not store your full payment card details.

Refunds, Cancellation, and Disputes

Cancellation. Paid subscriptions are month-to-month with no minimum term or commitment. You can cancel at any time from the billing portal in the platform, or by running gipity credits manage, which opens the same Stripe-hosted billing portal. Cancellation stops future renewals; your subscription stays active through the end of the current billing period, and you keep any unused credits until they expire under the schedule above.

Refunds. Credits are non-transferable and non-refundable except where a refund is required by law. Because credits are consumed immediately as you use metered platform features, we do not refund credits that have already been spent. If you believe you were charged in error, contact us at support@gipity.ai within 30 days of the charge and we will review it.

Disputes and chargebacks. If you have a billing concern, please contact support@gipity.ai first - we can usually resolve issues faster than a formal card dispute. Payments are processed by Stripe, and you may also exercise any chargeback rights your card issuer provides. Accounts with unresolved chargebacks or fraudulent disputes may be suspended pending review.

Acceptable Use

You agree not to: use the Service for illegal activities, attempt to bypass security measures or sandbox restrictions, generate harmful, abusive, or deceptive content, use the Service to harass or harm others, interfere with other users or the platform infrastructure, exceed resource limits or abuse automated workflows, reverse-engineer the Service, or use the Service to build a competing product. We reserve the right to suspend or terminate accounts that violate this policy.

AI-Generated Content

The Service uses third-party AI models (including those from Anthropic and OpenAI) to generate responses, code, images, and other content. AI outputs may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, validating, and using any AI-generated content. AI outputs do not constitute professional, legal, medical, financial, or other specialized advice. We make no warranties regarding the accuracy, reliability, or fitness of AI-generated content for any purpose.

User Content and Ownership

You retain ownership of content you create using the Service, including files, code, databases, and deployed applications. You grant us a limited, non-exclusive license to host, store, process, and transmit your content as necessary to provide the Service. This includes sending your content to third-party AI providers for processing. We do not claim ownership of your AI-generated outputs.

Agent Memory

Your AI agent automatically learns and remembers relevant information from your conversations to provide better assistance over time. You can view, edit, and delete stored memories at any time. Memory data is isolated per user and is not shared with other users.

Deployed Applications

Applications you deploy through the Service are hosted on our infrastructure and publicly accessible at your designated URL. You are solely responsible for the content, behavior, and legal compliance of your deployed applications, including any data they collect from end users. We reserve the right to remove applications that violate these terms, applicable law, or that pose a security risk.

Code Execution and Databases

Code executed through the Service runs in sandboxed containers with security restrictions including no network access, memory and CPU limits, and dropped privileges. You acknowledge that sandbox execution has resource limits. You may create up to 10 databases per user, scoped to your projects. We are not liable for code execution results, outputs, or data stored in your databases.

Workflow Automation

You may create automated workflows that run on schedules, webhook triggers, or manual triggers. You are responsible for the actions performed by your automated workflows, including any resource consumption and credit usage. Webhook-triggered workflows may be invoked by external services you configure. We reserve the right to suspend workflows that consume excessive resources or violate these terms.

Device Sync Application

We provide an optional desktop application (Gipity Uploader) that syncs files from your local device to your Gipity workspace. By installing and configuring this application, you authorize us to access, read, and transmit the contents of the folders you select for synchronization. You are responsible for ensuring you have the right to upload any files you sync. You can disconnect your device and stop syncing at any time.

Resource Limits

The Service enforces per-user resource limits on storage, databases, code execution, and API usage. These limits may vary by subscription tier. We reserve the right to throttle or suspend usage that exceeds fair use thresholds or impacts platform stability.

Intellectual Property

The Gipity platform, including its software, design, branding, and documentation, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets. Open-source components are governed by their respective licenses.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance windows will be communicated in advance when possible.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of profits, or business interruption. Our total aggregate liability for all claims is limited to the amount you have paid us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: your use of the Service, your deployed applications, content you create or distribute through the Service, your violation of these Terms, or your violation of any third-party rights.

Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases. You may export your data before terminating your account. We will retain your data for up to 30 days after termination, after which it will be permanently deleted, except where retention is required by law.

Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via the platform. Continued use of the Service after changes are posted constitutes acceptance of the updated terms. If you do not agree to the updated terms, you must stop using the Service.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration administered in accordance with applicable arbitration rules. You agree to waive any right to a jury trial.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
